In this situation the right thing for Tom to do would be to report it to is supervisor. His coworker is sharing confidential information with a competitor which is a violation of company rules and regulations in most places therefore it is up to Tom to report his coworkers behavior. He doesn't need to discuss it with other colleagues and ethically he shouldn't ignore it or try to work out an arrangement that will benefit him monetarily as if he got found out he would get fired.
